For our Legal & Compliance department we are currently looking for an:

Interim Banking and Finance Lawyer

Position:

For this challenging job we are looking for a confident and highly motivated lawyer for a few months (presumably until February 2011). You will be part of the Legal & Compliance department at our headquarters in Almere and work primarily on legal matters in banking and finance for our Treasury team in Almere and Dublin. This requirement for an interim lawyer has arisen because of the increased workload on banking and finance matters in the Netherlands and abroad and the Senior Banking and Finance lawyer would need to get support from a new colleague.

You will cooperate closely with and provide support to the Senior Banking and Finance lawyer and report to the Director Legal & Compliance. You will be part of a team of 8 professionals, mostly lawyers, each with his/her own expertise. In this role you will be working on the legal aspects in various jurisdictions of finance documents, such as various debt issuance programmes (e.g. EMTN, AU$), securitizations, loan and credit facilities and guarantees. You will work closely with and manage the relationships with external counsel in consultation with the Senior Banking and Finance lawyer.

Main tasks and responsibilities:

• Review, negotiation and implementation of documentation related to syndicated and bilateral credit facility agreements, securitisation transactions, debt capital market programmes, ISDA schedules and swap confirmations;
• Regularly updating offering documents and agreements for the debt capital market programmes;
• Ensuring compliance with the financing agreements and legislation applicable to the company’s financing activities.

Requirements:

• You are a qualified lawyer with at least 5  years of sound transactional experience in legal matters within the international capital markets and the (syndicated) loan market. 
• You should be able to move swiftly in a fast paced environment while maintaining the highest levels of confidentiality and reliability. 
• You must be a good negotiator, quick thinking, commercially aware and have good knowledge of relevant financial laws. 
• Because the deals often take place on an international playing field, you must have an understanding of global markets and legal systems.
• To be effective across all levels in our international organisation you need to have exceptional interpersonal and communication skills. 
• You are willing to travel on a regular basis.
